Most deals are lost in diligence, not in negotiation.
Acquisitions and exits break down on things that were knowable in advance: a contingent liability nobody disclosed, customer concentration that changes the valuation logic, or a key contract that terminates on change of control.
We support both sides of a transaction. On the sell side we prepare the business so diligence goes smoothly. On the buy side we examine what is actually being purchased, and we coordinate the financial and commercial workstreams through to closing. Where a transaction triggers the Takeover Code, open offer obligations or any other merchant banking function, it is handled by a SEBI-registered merchant banker from our panel.

What this covers
- M&A readiness review before the business is taken to market
- Sell-side preparation including data room construction and disclosure schedules
- Buy-side financial and commercial diligence coordination
- Valuation support and deal structuring at an advisory level
- Contingent liability, concentration and change-of-control risk identification
- Post-transaction integration support on finance and process systems
How we run it
Prepare
The data room is built before a buyer asks, which sets the tone for the whole process.
Examine
Concentration, contingent liabilities and contract risk are surfaced early, not at signing.
Integrate
Finance, costing and reporting systems are merged after closing, not left to settle.
